Terms of Use

This is a translation for convenience. The Portuguese version, atTermos de Uso, is the one that prevails.

1. Acceptance

These terms govern the use of the nuvtools.com site, of Nuv Tools Account (account.nuvtools.com) and of the Nuv Tools products and services. By creating an account, signing in with it or using a product, you state that you have read and accept these terms and thePrivacy Policy. If you use the services on behalf of a company, you also state that you have the authority to accept them for it. If you do not agree, do not use the services.

2. Who we are

The services are provided by Nuv Tools Technology Brasil Ltda, registered under CNPJ 38.129.015/0001-27 ("Nuv Tools", "we").

3. Definitions

• Account: your registration on Nuv Tools Account, which gives access to every product.
• Organization: a space on Nuv Tools Account that brings together people from one company, with roles set by its owners.
• Products: the Nuv Tools systems that use your account, such as Data Provider, Clinuv and LivCar.
• Professional services: consulting, development, audit and the other services described on the site, provided under a proposal or contract.
• Customer data: the data you or your organization put into a product.

4. The services

The site is informational and can be used without registering. Nuv Tools Account is free and is used to sign in to the products and manage organizations. Each product may have its own conditions (plans, prices, usage limits), shown on the product's page or when you subscribe, which complement these terms. Professional services follow the proposal or contract signed with the customer; where they conflict, the contract prevails over these terms.

5. Your account

• To create an account you must be at least 18 years old and legally capable.
• Registration details must be true and kept up to date. The account's e-mail must be yours and is confirmed before the first sign-in.
• You are responsible for keeping your credentials safe (password, passkeys, authenticator app and recovery codes) and for everything done with your account. We recommend turning on two-step verification.
• When you sign in with Microsoft or Google, that sign-in also follows the chosen provider's terms.
• If you notice unauthorized use of your account, change your password and write to support@nuvtools.com.

6. Organizations

Whoever creates an organization becomes its owner and states that they represent the company it refers to. Owners invite members, set their roles and answer for how the organization uses the products. An organization must keep at least one owner. By accepting an invitation, you gain access to the organization's resources according to the role you were given, and owners may withdraw that access at any time.

7. Acceptable use

When using the services, you agree not to:

• break the law or infringe the rights of others, including intellectual property and privacy;
• process personal data in the products without a legal basis or against the LGPD (Brazil's data protection law);
• try to access accounts, organizations or data that are not yours, or get around authentication, usage limits or billing;
• probe for vulnerabilities, overload or interfere with the services without our written authorization;
• reverse engineer the services, except where the law allows it;
• resell or share access to the products beyond what your plan allows;
• send malicious code, spam or unlawful content.

If you find a security flaw, tell us at support@nuvtools.com before disclosing it.

8. Data and privacy

We process your personal data as described in the Privacy Policyand the Cookie Policy. Customer data belongs to the organization that puts it into the product: it is the controller of that data, decides about it and answers for having a legal basis to process it; Nuv Tools acts as processor, handling it only to provide the contracted service. Requests from data subjects about that data are forwarded to the responsible organization.

9. Prices and payment

Nuv Tools Account is free. Paid products and services have their price, billing method and taxes stated before you subscribe. For usage-based products, such as the Data Provider APIs, usage is metered by our systems and detailed on the invoice. Non-payment may lead to the overdue product being suspended, after notice, until it is settled. Price changes are announced in advance and apply from the following period.

10. Intellectual property

The site, Nuv Tools Account, the products and the Nuv Tools trademarks and logos are protected by law and belong to Nuv Tools or its licensors. These terms give you only the right to use the services as described here, with no transfer of ownership. TheNuv Tools Framework libraries are open source and follow the MIT licence published in each repository, not these terms. Customer data remains the customer's. If you send us suggestions, we may use them to improve the services, with no obligation to compensate you.

11. Third-party services

The services rely on providers such as Microsoft Azure, Microsoft 365, Twilio SendGrid, Google and Microsoft (for sign-in), and some products give access to APIs published by third parties. We are not responsible for the content or policies of third-party services you choose to use, although we choose our providers carefully and require them to protect data adequately.

12. Availability and changes

We work to keep the services available and secure, under continuous monitoring, but they may be unavailable because of maintenance, a provider's failure or reasons beyond our control. Guaranteed service levels (SLA) exist only where a contract provides for them. We may improve, change or discontinue features and products; when a change materially reduces something you have contracted, we give reasonable notice.

13. Suspension and termination

• You may stop using the services at any time and ask for your account to be deleted by writing to privacy@nuvtools.com from the account's e-mail.
• We may suspend or close accounts and organizations that breach these terms or the law, put the services or other users at risk, or when an authority requires it. Whenever possible, we warn you first and explain why.
• Once use ends, data is handled according to the periods in the Privacy Policy. Before a paid product is closed, the organization may ask to export its customer data, in the format the product offers.

14. Liability

We provide the services with due care, but we do not guarantee that they will work without interruptions or errors, or that they will meet specific needs that were not agreed. To the extent the law allows, Nuv Tools is not liable for indirect damages, lost profits or data loss resulting from misuse, third-party failures or events beyond our control, and liability for paid services is limited to the amount paid in the 12 months before the event. Nothing in these terms removes rights the law grants you, in particular those of the Brazilian Consumer Protection Code, where it applies.

15. Changes to these terms

We may update these terms to reflect changes in the services or in the law. The date at the top shows the version in force. When a change is material, we notify you by e-mail or in the service before it takes effect; continuing to use the services afterwards means accepting the new version.

16. Governing law and venue

These terms are governed by the laws of the Federative Republic of Brazil. The courts of Brasília, Federal District, are chosen to settle any matter about them, without prejudice to a consumer's right to bring proceedings in the courts of their own domicile.
